Formation and permits

Can a foreign investor form a company in Turkey?
Yes. Under Law No. 4875, foreign individuals and companies can form a capital company on a footing close to local investors. Documents, translation and registration depend on the company type.
What is the practical difference between a limited and a joint-stock company?
Both are capital companies. A limited company suits simpler ownership; a joint-stock company suits structures that track share transfers and a board. The choice follows the activity and the number of shareholders.
Does incorporation automatically grant a work permit?
No. Trade-registry registration does not give a foreign shareholder or manager the right to work in Turkey. If someone will actually work, a work permit or an exemption is planned separately.
Does a liaison office trade?
A liaison office is opened for market research, representation and information gathering. It is not the model for trading and issuing invoices in its own name. If you will trade, consider a company or a branch.
Do foreign company documents need an apostille?
For corporate shareholders, a certificate of incumbency and registry extract are usually apostilled or consularised and enter the file with a sworn translation. Practice can vary by country, so the list is closed before filing.
Can a foreign-owned company use investment incentives?
A company formed as foreign direct investment has the status of a Turkish company, and incentive programmes consider it on the same conditions as a local investor. Eligibility depends on the project and the incentive rules.
